Early Discount Access Purchase Terms
Revision: September 19, 2026. Effective date: September 18, 2026. Seller: Manuchehr Modabber Stromberg, operating as BaseloadOS, California, United States. Contact: support@baseloados.com. Correspondence: 1700 Le Roy Ave, Apt 14, Berkeley, CA 94709, USA.
1. Scope and eligibility
These terms govern a one-time advance purchase of Early Discount Access. Initial sales are limited to United States customers. An individual purchaser must be at least 18 years old and legally competent to contract. A person purchasing for an organization must have authority to bind it. Younger users may participate only under an institution's authorized arrangement; they may not enter this purchase agreement or authorize payments independently.
2. Purchase price and entitlement
The access fee is US$500, payable once. Usage is separately charged against a prepaid dollar balance under the Billing and Credits policy. The fee includes no usage balance, no prelaunch MCP access, and no Terminal subscription or separate API product. It is not an investment and confers no equity, interest or profit share.
The purchased rates are US$0.002 per MCP credit for 12 calendar months from your Activation Date, followed by US$0.0025 per MCP credit while BaseloadOS continues to offer the MCP service. No additional US$700 activation fee is payable. These rates do not authorize charges to a payment method or automatic replenishment.
Funds may be used immediately for development, technology, software and security; they are not held in escrow. Their expenditure does not discharge delivery or refund obligations. Taxes, if applicable, and the total charge must be disclosed before payment.
3. Activation and minimum functionality
Your Activation Date is the later of (a) the date the minimum MCP capabilities are available to your account at your purchased rates, and (b) the date access instructions are sent to your verified account email. A public launch announcement, a test response or your first voluntary login does not independently determine activation. We will record and notify you of the date and your discount end date.
Minimum MCP capabilities are authenticated search and filtering of available BaseloadOS research data and retrieval of facility and generator records with source references, as described in the MCP Service Catalogue. The agreed usage meter, balance and spending controls must work. A placeholder or sample-only demonstration is not delivery. Custom calculations and comparisons are not included in the initial product promise.
4. Delivery deadline and automatic export alternative
The delivery deadline is one calendar year after your successful payment, as recorded in your receipt and account. If qualifying MCP access has not been delivered by that deadline, we will automatically deliver the specified BaseloadOS Data Export, without an additional charge or a customer election.
The Data Export Schedule covers the entire BaseloadOS research database available at delivery, in its then-current state. Its contents are not frozen at purchase. No particular future size, source list, record count, historical coverage or completeness is promised. This is not a selected sample or a curated subset of the research database.
The export will exclude user/customer records, login/authentication data, payment information, credentials, operational secrets, non-research system data and material we are not authorized to redistribute. It will include a manifest, source attribution and license notices, field/unit documentation, coverage and missingness information, and integrity checksums. The customer receives the lawful data-use rights stated in the MCP Service Terms and applicable source licenses.
A conforming export delivered on time fulfills the alternative delivery obligation; the access fee is not voluntarily refunded solely because the purchaser prefers MCP access. Mandatory remedies are unaffected. If MCP becomes available afterward, your rate entitlement remains in force, and its 12-month introductory period begins on your individual Activation Date. Export delivery does not start that period.
5. Export access and defects
Delivery requires a functioning secure link, sent to your verified account email, providing access to the complete conforming export. The initial download period is 30 calendar days. An expired or broken link reported within that period will be replaced without charge, with at least 30 calendar days to download from replacement. Periods when the files are unavailable do not count against the download period.
We will replace a corrupt or incomplete archive, or correct a delivery that fails the accepted specification, without charge. A defect preventing receipt of the promised contents means delivery has not occurred; issuing a link alone does not satisfy the deadline. Repair does not extend the original deadline without the customer's express agreement or remove an already accrued refund entitlement. The export is a snapshot; no ongoing updates or dashboard are included.
6. Minimum service period and early discontinuation
Once your account is activated, we commit to a 12-calendar-month minimum service period for the purchased minimum MCP capabilities. This is not an uninterrupted uptime guarantee. If we permanently discontinue those capabilities for your account during that period for reasons unrelated to your material breach, we will automatically refund the unearned portion of the US$500 access fee.
The refund is US$500 multiplied by the remaining portion of the minimum service period, measured in UTC days, divided by the total days in that period. A partly unserved day counts as unserved; the result is rounded to the nearest cent. Equivalent access accepted by you may satisfy the commitment; an export does not unilaterally replace this post-activation remedy. The same protection applies if activation occurs after an earlier fallback export.
A material reduction that removes purchased minimum capabilities without an equivalent you accept is treated as discontinuation of those capabilities. Temporary interruptions do not by themselves constitute permanent discontinuation, but this distinction does not permit indefinite suspension to avoid the remedy.
We will also return unused paid usage balances. Refunds already made toward the same access-fee obligation are credited to prevent duplicate recovery; mandatory remedies remain available. After the minimum period, the continuing discounted rate does not guarantee perpetual operation. Any unused paid balance and other undelivered prepaid service remain subject to refund.
7. Refund execution
If neither qualifying MCP access nor a conforming export is delivered by the deadline, you are entitled to an automatic full refund of the US$500 access fee. No claim, additional purchase or waiver is required. There are no voluntary change-of-mind refunds of this access fee, subject to rights required by law.
We will initiate a refund due under these terms within 10 business days after its trigger, or sooner when required by law. Business days exclude Saturdays, Sundays and United States federal holidays. Refunds are ordinarily returned through the original payment method. A bank's posting time is separate from our initiation deadline. We will provide confirmation when the refund is initiated.
If that method cannot receive the refund, we will notify you and arrange a lawful alternative after proportionate identity verification, without fees or compulsory store credit. Failure of a payment method does not cancel the debt. Any delay requiring information from you will be explained; no statutory deadline is extended by this clause. Unauthorized, duplicate and erroneous charges retain their applicable remedies.
8. Accepted documents and pre-sale requirements
The exact terms, Billing and Credits policy, Service Catalogue, Data Export Schedule and applicable source-license disclosures must be available before payment and retained with your acceptance record. The credit definition is fixed for this purchase as specified in the accepted metering schedule; it cannot be silently redefined to reduce the purchased discount.
The Purchase Terms control this purchase's delivery, rate entitlement, minimum service period and refunds. The Billing and Credits policy controls the agreed measurement and monetary accounting. The MCP Service Terms govern service and data rights; source licenses retain their independent effect. The Acceptable Use Policy governs conduct. The General Legal Terms apply subject to those specific obligations. Their arbitration provisions, exceptions and opt-out must be conspicuously presented before acceptance. The Privacy Notice is a disclosure, not consent to unrelated processing or marketing. Later edits do not amend an accepted contract retroactively.
