General Legal Terms

Revision: September 18, 2026. Effective date: September 18, 2026. “BaseloadOS,” “we” and “us” mean Manuchehr Modabber Stromberg, operating as BaseloadOS in California, United States. That identified seller, not an unformed entity, is the contracting party.

These terms govern the public site, Map, accounts and MCP to the extent presented to and validly accepted by the customer. Early Discount purchases incorporate them expressly. Future Terminal and separate API products require their own accepted orders and applicable product terms before paid use; referring to them here does not activate a product or authorize its charges. A link alone is not a representation that a visitor has affirmatively accepted a contract.

Individual purchasers must be at least 18 and legally competent to contract. Representatives must have authority to bind their organization and authorize its users and agents. Younger users may use an institutional arrangement only within its lawful permissions, not independently contract or authorize charges. Initial paid sales are limited to United States customers; mandatory protections are not waived by that restriction.

These terms include binding individual arbitration and a waiver of jury trials and class proceedings for covered disputes, subject to the exceptions and opt-out right below.

1. Disclaimer of warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE AND DATA ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NONINFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE OR DATA WILL BE COMPLETE, ACCURATE, CURRENT, ERROR-FREE, UNINTERRUPTED OR SUITABLE FOR YOUR PARTICULAR PURPOSE.

You are responsible for evaluating data for your intended use. This disclaimer does not override our express purchase, delivery, rate or refund commitments, or any warranty or consumer protection that applicable law does not permit us to exclude.

2. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, BASELOADOS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, BUSINESS OPPORTUNITIES OR DATA, ARISING FROM THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

SUBJECT TO THE EXCEPTIONS BELOW, BASELOADOS'S TOTAL LIABILITY FOR CLAIMS ARISING FROM THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF US$500 OR THE AMOUNT YOU PAID BASELOADOS FOR THE AFFECTED SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

These exclusions and limits do not apply to fraud, willful misconduct, gross negligence, liability for violations of law that cannot be limited, or other liability that applicable law prohibits us from excluding or limiting. They do not reduce amounts we expressly owe as refunds, repayment of unused balances, or other non-waivable remedies. Applicable statutory consumer rights remain unchanged.

For this cap, the “affected service” is the product giving rise to the claim: MCP includes its applicable access fee and usage charges; Terminal includes the relevant subscription and, if involved, its AI charges; a separate API is its own product. The public site and free Map have no paid fee, so the US$500 floor applies. A claim genuinely involving multiple products includes the relevant payments for each without counting the same payment twice. This definition does not narrow express access-fee refunds or repayment obligations. The cap does not cap business arbitration administration fees or arbitrator compensation we must pay.

3. Indemnification

To the extent permitted by law, you agree to indemnify BaseloadOS and its personnel against third-party claims, resulting damages and reasonable legal costs to the extent caused by your unlawful use of the service, your knowing violation of a third party's rights, or your material breach of these terms. This obligation does not apply to claims caused by our negligence, misconduct or breach, or to ordinary permitted use of the service.

We will promptly notify you of a covered claim and reasonably cooperate in its defense. You may control the defense with reasonably acceptable counsel. You may not settle a claim by admitting fault for us, imposing nonmonetary obligations on us, or failing to release us, without our written consent. We may participate with our own counsel at our expense. This clause does not shift our responsibility for our own legal violations to you.

4. Suspension and termination

You may stop using the service and request account closure through our support contact. Closing an account does not automatically cancel amounts already properly incurred or eliminate rights under your purchase terms.

We may suspend or terminate access for material violations of these terms, nonpayment, fraud, security threats or a legal requirement. Where practical, we will explain the reason and give you 14 days to correct a remediable breach before termination. Immediate restrictions may be necessary to prevent harm or comply with law. You may request review through our support contact.

If we discontinue the service for reasons unrelated to your breach, we will provide at least 30 days' notice where reasonably possible and refund prepaid amounts for undelivered services and unused paid balances. Early Discount delivery, automatic export, minimum service period and prorated access-fee refund obligations remain governed by the purchase terms; this clause is not a way to avoid them. Where immediate discontinuation is required by law or a security emergency, we will provide notice as soon as reasonably possible.

Terms addressing accrued payment obligations, permitted data use, liability and dispute resolution survive closure to the extent relevant to existing claims. Personal information is retained or deleted under the Privacy Notice and law.

5. Governing law

California law governs these terms, without regard to conflict-of-law rules. The Federal Arbitration Act governs the arbitration agreement to the extent applicable. Nothing in this choice of law deprives a consumer of mandatory protections under otherwise applicable law. Court proceedings permitted under these terms may be brought in a court with jurisdiction; consumers are not required to travel to California where applicable law provides a local forum.

6. Informal dispute resolution

Before starting arbitration, either party may send a written dispute notice to the other. Notices to BaseloadOS go to support@baseloados.com; notices to you go to your account email. Include contact details, a description of the dispute and the relief sought. We will try in good faith to resolve the dispute for 30 days after receipt.

This process does not prevent small-claims filings, reports to regulators, urgent relief needed to protect rights, or action necessary to meet a legal deadline. It does not shorten any legal limitation period.

7. Binding individual arbitration

Unless you opt out as described below, you and BaseloadOS agree that disputes arising from these terms, the purchase or the service will be resolved by binding arbitration before one neutral arbitrator administered by the American Arbitration Association (AAA), rather than a judge or jury, except for the exclusions below. AAA's Consumer Arbitration Rules apply to consumer disputes; its Commercial Arbitration Rules apply to nonconsumer business disputes. Rules and filing information are available at https://www.adr.org.

The arbitrator may award the remedies available under applicable law, including statutory damages and attorneys' fees where authorized, and will issue a written decision. A court with jurisdiction may enter judgment on the award. Courts decide whether this arbitration agreement was formed and whether it is enforceable.

Consumer proceedings may take place remotely or at a reasonably convenient location consistent with AAA's rules. Fees are allocated under the applicable AAA rules and law; we will pay the fees allocated to the business and any additional amounts law requires. The consumer will not be required to bear costs prohibited by those rules or applicable law. For business disputes, the applicable rules govern fees.

Exceptions and preserved rights

Either party may bring a qualifying individual claim in small-claims court. You may report concerns to government agencies, which may act on your behalf as permitted by law. No provision waives the right to seek public injunctive relief. If a request for that relief cannot lawfully be arbitrated, it may proceed in court. A party may seek temporary court relief needed to preserve rights pending arbitration.

Individual proceedings

To the extent enforceable, covered disputes will proceed individually, not as class, collective or representative proceedings. This restriction does not prevent public injunctive relief or other rights that cannot lawfully be waived. If this restriction is unenforceable for a particular claim or remedy, that claim or remedy may proceed in court; the remaining provisions apply only to the extent legally permitted.

Your 30-day opt-out right

You may reject this arbitration agreement by emailing support@baseloados.com within 30 days of first accepting these terms. Include your name, account email and a clear statement that you opt out of arbitration. Opting out does not change your price, service access or other purchase rights. If you opt out, disputes may proceed in courts with jurisdiction.

Administrator unavailable; changes

If AAA declines or cannot administer a dispute, the parties may agree to another neutral provider. If they cannot agree, either party may proceed in a court with jurisdiction. We will not apply a later change to this arbitration agreement to an already existing dispute without both parties' agreement.

8. Relationship to purchase terms

Specific Purchase Terms and their accepted delivery schedules control delivery, activation, purchased rates and refund commitments. The accepted Billing and Credits policy controls measurement and monetary accounting; the MCP Service Terms control service and the license in delivered data; the Acceptable Use Policy controls conduct, without withdrawing expressly permitted uses. These General Legal Terms apply to remaining matters. Applicable source licenses and public-domain rights are not overridden by any document in this hierarchy. The Privacy Notice describes processing and is not blanket consent to unrelated use.

Before payment, the applicable documents and any arbitration notice must be conspicuous and acceptance affirmative. We retain the accepted text/version, customer and purchase association, and acceptance time. Privacy acknowledgment, marketing consent and recurring-payment authorization are separate matters. Later edits do not silently alter an accepted order or replace its archived terms. A transfer of the business does not extinguish existing obligations or excuse any required notice or consent.

Invalid provisions are severed only where doing so is lawful and does not defeat the agreed purpose. Nothing in these terms guarantees that any particular limitation or arbitration provision will be enforceable in every jurisdiction.

9. Content you submit

You retain ownership of content you submit, such as prompts, custom formulas, account information and feedback. You grant BaseloadOS a nonexclusive license to process, store and transmit that content only as reasonably necessary to provide, secure and support the services you request, comply with law and enforce these terms. This does not grant us permission to publish your private content or use it to train an AI model. Our service providers may process content on our behalf as described in the Privacy Notice.

You must have the rights needed to submit your content. Do not submit unlawful content, content that infringes another person's rights, passwords, API secrets or sensitive personal information that the service does not request. You are responsible for reviewing generated formulas and other AI-assisted results before using them. These terms do not make user uploads or public content sharing available where those features are not offered.

Confidentiality of customer research

Nonpublic prompts, research strategies, saved datasets, formulas, results and commercial information submitted to the service are confidential customer content, whether or not they identify a person. We will not disclose that content or use it for our own research, advertising, competing products or AI model training. Access is limited to personnel and providers with a need to provide the requested service, investigate security issues, supply requested support or comply with law, under appropriate confidentiality and restricted-use obligations.

We will use reasonable safeguards and disclose no more than necessary. If legally compelled to disclose content, we will notify the customer where legally permitted and reasonably practicable and limit disclosure to the requirement. Confidentiality does not attach to information independently and lawfully obtained without a duty, independently developed without the content, or made public without breach. The party relying on an exception must be able to substantiate it.

Feedback is voluntary only when deliberately supplied as a nonconfidential product suggestion. Ordinary queries, support messages and private research do not become feedback simply because they reveal a useful idea. We may use voluntarily designated nonconfidential suggestions to improve the product, but that permission does not include publishing personal information or acquiring ownership of customer data. These confidentiality obligations survive account closure for so long as the information remains confidential, subject to lawful retention and deletion.

We may refuse, restrict or remove content reasonably believed to violate these terms, applicable law or another person's rights. We may preserve relevant records where reasonably necessary to investigate misuse or comply with law. Report infringing or unlawful content to support@baseloados.com, identifying the content, your contact details and the basis for your report. We may restrict or terminate accounts that repeatedly infringe others' rights, subject to applicable law.

10. Privacy and account security

Our Privacy Notice explains what personal information we collect, why we use it, our service providers, retention and how to make privacy requests. Acknowledging that notice does not waive your privacy rights or provide blanket consent to unrelated uses of your information. Where a use requires separate consent, we will request it separately.

Keep your account credentials private and promptly report suspected unauthorized access to support@baseloados.com. We use reasonable safeguards, but no service can guarantee absolute security. Nothing in these terms excuses our own data protection obligations or limits rights that cannot lawfully be waived.
