MCP Service Terms
Revision: September 19, 2026. Effective date: September 18, 2026. Seller: Manuchehr Modabber Stromberg, operating as BaseloadOS, California, United States. Contact: support@baseloados.com.
1. Customer and service scope
The customer is the individual or organization accepting these terms, not an AI agent. An individual purchaser must be at least 18 and legally competent to contract. A representative must have authority to bind the organization. An institution may authorize younger users under its supervision without authorizing them independently to contract or spend.
MCP supplies authenticated, metered access to the datasets and functions in the versioned MCP Service Catalogue accepted with the applicable order. Initial capabilities are search/filter and facility/generator record retrieval with sources. Custom calculations and comparisons are not part of the initial promise. Available data and fields vary as described in that catalogue. It is retained with the accepted terms; future capabilities are not included merely because they are discussed or planned.
The service provides research data. It is not individualized investment advice, engineering certification, a safety assurance, or an operational control system. Do not rely on it alone for safety-critical or consequential decisions.
2. Authorization of agents and charges
You may authorize software, employees, contractors and AI agents to use your account within assigned permissions and spending limits. You are responsible for requests properly attributable to that authorization; an agent is not a separate contracting party. We will associate usage with the customer account and the relevant credentials or delegated authority.
You may revoke credentials or delegation. Revocation prevents new authorized requests once received and applied; it does not erase valid prior charges. In-flight work is subject to the disclosed cancellation rules and its existing authorized maximum, not an unlimited spending authorization.
Keep credentials secure and report suspected compromise promptly. We will investigate disputed use and restrict compromised access as appropriate. Possession of a credential does not conclusively establish that every request was authorized. Nothing makes you liable for our security failures or overrides mandatory protections for unauthorized transactions. We will not bill above your configured limit because our enforcement failed.
Charges, balances, reservations and refunds are governed by the accepted Billing and Credits policy. Early Discount delivery, activation and minimum service commitments are governed by the Purchase Terms. No automatic payment-method charge or replenishment is authorized merely by accessing MCP.
3. Express license for delivered data
To the extent BaseloadOS controls the necessary rights, upon lawful delivery and payment of applicable charges, BaseloadOS grants you a worldwide, nonexclusive, perpetual, irrevocable, royalty-free license to use, reproduce, cache, store, modify, combine, analyze, publish, distribute, sublicense and sell the delivered data and BaseloadOS's licensable original contributions embodied in it for any lawful purpose.
Permitted uses include personal and commercial analysis; charts and publications; client reports; customer-facing applications; bulk processing; supplying data to AI providers; training and evaluating models; redistribution of raw results; and operating a competing data product or feed. No additional BaseloadOS permission or continuing subscription is required solely to use data already lawfully obtained. This license does not authorize unpaid access to new data or evasion of service security, billing or limits.
Applicable source licenses and third-party rights remain controlling for their respective material. Preserve required attribution, license notices and modification disclosures. We cannot grant rights that a source owner has not granted us. Public-domain rights and rights you receive independently under an open license are not reduced by these terms, nonpayment for later service, or account closure.
4. Ownership and source disclosures
BaseloadOS retains its rights in its software, branding, service documentation, and legally protectable original contributions, except for the express data license above. Normalizing or organizing facts does not give BaseloadOS ownership of the underlying facts or exclusive rights in preexisting public-domain material.
The Source License Register identifies source conditions and limitations. Responses and exports must carry applicable attribution and license information, either directly or through an accompanying source manifest that remains available with the delivered data. Material lacking verified redistribution permission must not be sold merely because it was collected from a public website.
Permission to use delivered data does not license BaseloadOS trademarks or imply endorsement. Separately released open-source software remains governed by its own license, not a more restrictive hosted-service rule.
5. Source quality and freshness
Data may contain errors, omissions, revisions, unresolved identities and reporting delays. Observation dates, source-publication dates where known, and BaseloadOS retrieval or processing dates describe different events. No single date represents the freshness of every source. Normalization and matching do not establish facts unsupported by the source. We do not promise completeness, universal coverage, continuous availability or a fixed uptime percentage.
These limitations do not excuse failure to deliver express purchased capabilities or exclude non-waivable warranties and remedies.
6. Service changes and source removal
We will give at least 30 calendar days' advance notice by account email of a planned material reduction to purchased functionality or deprecation of a supported tool, together with its effective date and any available replacement. We will retain the affected catalogue version and explain migration requirements. An optional new feature need not alter an existing order.
Source withdrawal, rights restrictions, legal obligations or an urgent security threat may require earlier action. We will then notify affected customers as soon as reasonably practicable, identify the scope and reason to the extent legally permitted, and explain alternatives and applicable refunds. Continued collection or distribution is not promised where it would be unlawful.
No change silently reduces purchased Early Discount economics or extinguishes prepaid obligations. Loss of minimum purchased capabilities is addressed under the Purchase Terms' service-period remedy; other undelivered prepaid service and unused paid balances are refunded as applicable. Customers need not accept a materially reduced substitute merely because the catalogue was edited.
7. Customer content and enforcement
The confidentiality and limited-processing obligations in the General Legal Terms apply to nonpublic prompts, research, formulas and other customer content. Sending data to an AI provider selected independently by you is subject to your arrangement with that provider; this does not authorize BaseloadOS to train models on your private research.
Authorized automation, caching and high-volume use are permitted under the Acceptable Use Policy. Restrictions must address actual access, security, billing or legal risks, not the competitive nature of a lawful customer product.
The General Legal Terms govern suspension, disputes and liability, subject to the specific purchase and billing commitments and independent source rights. The Privacy Notice describes processing; it is not blanket consent to unrelated use.
